Terms and Conditions
The clear rules behind using our site and the general framework for our services.
These Terms and Conditions ("Terms") govern access to and use of www.synapsereactive.com and any digital channel operated by Synapse Reactive ("we," "us," "our"). They also set the general framework under which we deliver our technology and AI implementation services, without replacing the specific service agreement or proposal you sign with us for a given project.
By using the Site or requesting information about our services, you accept these Terms. If you're becoming a client, the service agreement we reach with you will take precedence over these Terms wherever the two differ.
1. Who These Terms Apply To
These Terms apply to two kinds of people:
- Site visitors: anyone browsing www.synapsereactive.com, filling out a form, or reaching out by email or WhatsApp.
- Clients: companies that engage our diagnostic, automation, development, or ongoing technology support services. For clients, scope, deliverables, timelines, and specific commercial terms are governed by the signed proposal or agreement for that project — these Terms only cover general matters not already defined there.
2. Use of the Website
You may use the Site to learn about our services, request information, and schedule a conversation with us. You must not use the Site for unlawful purposes, attempt unauthorized access to our systems, or copy or replicate its structure, design, or content for your own commercial use.
We reserve the right to restrict or suspend access to the Site for anyone who, in our reasonable judgment, is misusing it.
3. Our Services
Synapse Reactive provides technology implementation services with a focus on artificial intelligence, tailored to each company. Content on the Site (including reference pricing, estimated timelines, or service descriptions) is informational and does not constitute a binding quote. The actual scope, deliverables, cost, and schedule for each project are formalized in a separate proposal or service agreement, accepted by both parties before any work begins.
4. Intellectual Property
We distinguish between three types of intellectual property:
- Site content (text, design, brand, logo): owned by Synapse Reactive. You may not reproduce, distribute, or use it commercially without our written consent.
- Proprietary tools and methodology: the systems, templates, internal processes, and diagnostic methodology we use to deliver our services remain the property of Synapse Reactive, even when applied within a client project.
- Project deliverables: ownership of what we build specifically for a client (code, automations, sites, applications) is defined in that project's service agreement, not in this document.
5. Communications and Content You Send Us
If you share information, feedback, documents, or requests with us through the Site, email, or WhatsApp, you authorize us to use them to evaluate your request, follow up, and, where applicable, prepare a proposal. You must not send us content that infringes third-party rights, is defamatory, unlawful, or constitutes spam. We reserve the right to decline to respond to, or to discard, communications we consider inappropriate.
6. Cookies & Tracking Technologies
We use cookies and analytics tools to understand how the Site is used and to improve the experience. What we collect and how we use it is detailed in our Privacy Policy, which is incorporated into these Terms by reference.
7. Links to Third-Party Sites
The Site may include links to social media, tools, or external resources we do not operate. We are not responsible for the content, availability, or privacy practices of those sites. Including a link does not imply our endorsement.
8. Content Accuracy and Site Changes
We work to keep the Site current, but we do not guarantee that all information is error-free at all times. We may modify, update, or remove Site content without prior notice.
9. Warranties and Limitation of Liability
The Site is provided "as is," without guarantees of uninterrupted availability or freedom from technical errors. To the fullest extent permitted by law, Synapse Reactive will not be liable for indirect, incidental, or consequential damages arising from use of the Site. This limitation does not apply to the specific warranties or obligations we assume under a signed client service agreement, which are governed by that document.
10. Confidentiality
Information you share with us to evaluate a project (company data, internal processes, technology needs) is treated confidentially and used solely to address your request. If you move forward with a formal engagement, specific confidentiality obligations will be detailed in the corresponding service agreement.
11. Termination of Access
We may suspend or restrict your access to the Site if we detect misuse, without affecting already-signed service agreements, which are governed by their own termination terms.
12. Changes to These Terms
We may update these Terms as needed to reflect changes in our services or applicable law. We'll post the current version on the Site along with its update date. Continued use of the Site after an update means you accept the revised Terms.
13. Governing Law and Dispute Resolution
Synapse Reactive serves clients in Mexico, the United States, and worldwide, so we aim for dispute resolution that is fair and predictable regardless of where you're located:
- General principle: in the event of any disagreement, both parties commit to first attempting to resolve it through direct, good-faith negotiation before pursuing formal legal action.
- Clients in Mexico: Mexican law applies; the competent courts of Mexico City will have jurisdiction where no different mechanism is agreed in the service agreement.
- Clients in the United States: the applicable law and resolution mechanism (including arbitration, where applicable) is defined in each project's service agreement.
- Clients in the European Union/United Kingdom: we recognize the consumer protection rights you're entitled to under your local law, which prevail over any conflicting provision.
- Other regions: we agree on a reasonable resolution mechanism case by case, typically defined in the corresponding service agreement.
14. Severability and Entire Agreement
If any provision of these Terms is found unenforceable, the rest remains in effect. These Terms, together with our Privacy Policy and, where applicable, the signed service agreement, constitute the entire agreement between you and Synapse Reactive.
